Bylaws of the Oklahoma Society of Health-System Pharmacists  


Article 1          Name

1.1  Name

1.1.1    The name of the organization shall be the Oklahoma Society of Health-System Pharmacists, which shall be known as the OSHP. 

Article 2          Mission and Goals

2.1      The mission of OSHP shall be to:

2.1.1    Advance rational, patient-oriented drug therapy.

2.1.2    Promote pharmacists as integral members of the health care team, fully utilizing their clinical and drug-use-control functions.

2.1.3    Serve as a primary advocate for advancing professional practice, enhancing the cost- effectiveness of pharmaceutical services, and improving the quality of patient care.

2.1.4    Promote the pharmacists' value to patients to insure that appropriate medication management is applied for their benefit.

2.1.5    Encourage good health by fostering the optimal and responsible use of drugs, including prevention of improper or uncontrolled usage.

2.1.6    Assure sufficient, competent manpower in the profession by offering education and training programs.

2.1.7    Contribute to continuing education programs for pharmacy practitioners and support staff. 

2.1.8    Provide leadership in the identification, analysis and evaluation of health care trends and in the development of public policy, and to address legislative and regulatory initiatives of concern to the pharmacy profession.

2.2     The goals of OSHP shall be to:

2.2.1    Promote the value of pharmacists as integral members of patient- centered healthcare teams.

2.2.2    Advocate the advancement of pharmacy practice through legislation and regulation.

2.2.3    Identify and mentor current and future leaders within health-system pharmacy.

2.2.4    Deliver unique and innovative programs and share best practices for pharmacists, students, and technicians.

Article 3          Membership

3.1     Eligibility

3.1.1    Active members shall consist of pharmacists licensed by any state, district or territory of the United States who have paid dues as established by the OSHP and support the objectives of the OSHP as stated in the Constitution and Bylaws.  Members of the OSHP are encouraged to be members of the American Society of Health-System Pharmacists.

3.1.1.1 Active members shall receive publications and general communications of the OSHP, may attend meetings, may be granted the privilege of the floor shall be entitled to vote on amendments to the Constitution and Bylaws, and hold elected office in the OSHP.

3.1.1.2 New graduate/Resident members  shall consist of first year post-graduates and individuals participating in a post-graduate year 1 or 2 residencies. New graduate/resident members shall have the same rights and privileges as Active Members. 

3.1.2    Associate Members shall consist of supporting members, pharmacy technicians, and student members. Associate members shall receive publications and general communications of the OSHP, may attend meetings, may be granted the privilege of the floor, and shall be entitled to vote, but shall not be entitled to hold elected office.

3.1.2.1  Supporting Members. Individuals, other than those who qualify as active members, who by working in an organized health-care setting, teaching prospective health-system pharmacists, or otherwise contribute to pharmacy services provided in organized health-care settings who support the objectives of the OSHP as stated in the Constitution and Bylaws.

3.1.2.2   Pharmacy Technicians. Individuals who are employed as pharmacy technicians in an organized health-care setting, work under the supervision of a licensed pharmacist and assist in preparing, distributing or administering medication.

3.1.2.3  Student Members. Individuals enrolled full-time in undergraduate or graduate programs of an accredited college of pharmacy.

3.1.3  Honorary membership may be bestowed upon those individuals who have distinguished themselves by service to the OSHP, to the profession of pharmacy or to other health-related fields.

3.1.3.1  The rights or privileges of active membership will be granted by virtue of this honor only if the individual is otherwise qualified.

3.1.3.2 No dues shall be required of honorary members.

3.1.3.3 Nominations must be submitted in writing to the Secretary of the OSHP by two or more active members.

3.1.3.4 Unanimous approval of the Board of Directors is required.  

3.2       Dues

3.2.1    The Board of Directors shall establish dues and membership periods for all members.  The Board of Directors shall have the authority with a three-fourths approval of the Board of Directors to increase dues not more than 20% on an annual basis.  Increases of greater than 20% on an annual basis must be submitted to the OSHP membership for approval.

3.2.2  Dues for active and associate members shall be payable the first day of January, of each year.

3.2.3  Payment of dues automatically renews membership in the OSHP.  

3.3  Period of Membership

3.3.1  The period of membership shall be from January 1 to December 31.

3.3.2  Any member not having paid dues for the upcoming membership year by February 1 shall cease to be a member of the OSHP and shall have their name removed from the membership rolls.

3.3.3  Such a person described in 3.3.2 may be reinstated as a member provided his or her payment of current membership dues are made.   

3.4  Termination of Membership

3.4.1     A member may terminate membership at any time by submitting a signed, written statement of their intention to the Secretary of the OSHP. However, in such case, no dues or fees shall be refunded.  

3.5       Services of the society       

3.5.1     Members of the OSHP shall be entitled to receive services and publications as the Board of Directors establishes.     

3.5.2    Upon termination of membership, a member's right to membership services shall cease.  

Article 4          Officers  

4.1       Composition

4.1.1    The officers of the OSHP shall be the President, President-elect, Immediate Past President, Secretary, Treasurer, Western District Chair, and Eastern District Chair.  

4.1.1.1 All officers shall be active members of the OSHP.  

4.2       Nominations .   

4.2.1    A call for nominations for candidates shall be disseminated to allow members to suggest qualified candidates for nomination. Members are encouraged to nominate themselves if they have a desire to serve. Nomination forms shall not require the identification of the person submitting the form.  

4.2.2    Candidates for Officers must be Active members of the OSHP and must reside in or have their primary place of employment located within the state of Oklahoma. In the case of District Chairs, the members must reside or have their primary place of employment located within the given District.  

4.2.3    The President shall annually establish a Nominations committee to nominate the candidates for each office. This committee shall consists of a minimum of 3 active members  The Immediate Past President shall serve as a member of the committee. The President shall appoint members from the Society to serve on the committee.  Prior to reporting the name of any candidate, the Committee shall confirm that the candidate is eligible and willing to serve.   

4.3       Terms of Office                        

4.3.1    The President-elect shall be elected annually for a term of one year and shall succeed successively to the office of President and then to the position of Immediate Past President, serving for one year in each capacity. The Immediate Past President cannot succeed to President-elect.                        

4.3.2    The Secretary and Treasurer shall serve a term of office of two years. They shall be elected on alternate years. Neither shall serve more than two successive terms.  

4.3.3    The Eastern and Western District Chairs shall each serve a term of office of two years. They shall be elected on alternate years. The Western District Chair will be elected every other year when the Treasurer is elected while the Eastern District Chair will be elected every other year when the Secretary is elected.  

4.4       Duties of Offices     

4.4.1    President       

4.4.1.1 The President shall be the principal elected official of the OSHP and shall be so recognized at all the OSHP programs and activities. With approval of the Board of Directors, the President shall appoint chairs and members of committees as needed. Except as otherwise provided, he or she shall fill all vacancies by appointment. He or she shall be an ex-officio member of all OSHP committees. He or she shall be a member of the Board of Directors and serve as its Chair.  

4.4.2    President-elect  

4.4.2.1 The President-elect shall perform the duties of the President whenever the President is unable to do so. He or she shall be a member of the Board of Directors and shall assume the responsibilities as directed by the President including ex-officio membership of all OSHP Committees.                        

4.4.3    Immediate Past President  

4.4.3.1  The Immediate Past President shall be a member of the Board of  Directors and in the absence of both the President and President-Elect, shall serve as Chair of the Board. The Immediate Past President will also serve as a member of the Nominations Committee.  

4.4.4    Secretary       

4.4.4.1 The Secretary shall be a member of the Board of Directors. He or she shall record and maintain meeting minutes of the Board of Directors and other meetings when directed by the President. A Secretary's report describing the OSHP's activities during the preceding year shall be presented at the Annual Meeting.  

4.4.5    Treasurer                                      

4.4.5.1 The Treasurer shall serve as custodian of the OSHP's funds. He or she shall invest and disburse funds at the direction of the Board of Directors and shall serve as a member of the Finance Committee. He or she shall prepare periodic statements on the financial condition of the organization and present a report and audited financial statement at the Annual Meeting.  

4.4.6    District Chairs  

4.4.6.1 Each District Chair shall coordinate and preside at all District Meetings. He or she shall prepare a report for presentation at the Annual Meeting of the OSHP.  

Article 5          Elections  

5.1       The winner of any election will be the individual who receives greater than 50% of the votes cast.   

5.2       The newly elected officers shall be installed at the annual meeting to hold office for 1 to 3 years, dependent on the term of the office.  

Article 6          Ballots  

6.1       Ballots may be distributed to the voting membership either electronically or by paper and will be distributed to the location or address on file with the organization at the time.  

6.2       Ballots shall be counted by the Nominating Committee. The Chair of the Committee must submit in writing the results of the election to the Board of Directors.  

6.3       The deadline for submitting votes should be no more than 15 days from the date of the ballot distribution.                           

Article 7          Board of Directors  

7.1       Composition                          

7.1.1    The Board of Directors shall consist of the following voting members: President, President-elect, Immediate Past President, Secretary, Treasurer and District Chairs.                          

7.1.2.   Student representatives will be non-voting members of the Board of Directors.  There shall be a student representative from both Southwestern Oklahoma State University and the University of Oklahoma Colleges of Pharmacy.  The student representative shall be appointed or elected by their respective OSHP student chapters.  

7.2       Attendance and Frequency of Meetings                          

7.2.1    The Board of Directors shall meet at least quarterly or at the call of the Chair.  

7.2.2    Each board member is expected to attend a minimum of 4 meetings annually.                        

7.3       Quorum                                                

7.3.1    A simple majority of the voting members of the Board of Directors shall constitute a quorum.            

7.4       Responsibilities                          

7.4.1    The Board of Directors shall represent the membership of the OSHP as the official voice of health-system pharmacists in the state of Oklahoma. The Board of Directors shall have charge of the property of the OSHP; shall establish regulations for expenditure and investment of funds and the signing of checks; shall have authority to make contributions of the OSHP funds or properties to foundations or other organizations for research and educational activities of benefit to organized health-care pharmacy practice; shall supervise and select the editor of the OSHP's publications; shall make ultimate decisions regarding the acts of committees and officers on professional policy matters; shall accept, on behalf of the OSHP, grants, contributions, gifts, bequests or devices to further the purpose of the OSHP; shall perform all acts and functions consistent with the Bylaws; and shall report actions taken on major policy matters at the next Annual Meeting.                          

7.4.2    The Board of Directors may establish and modify administrative policies, consistent with these Bylaws, for the conduct of its business and for the conduct of the business of the OSHP and its components.              

7.5       Vacancies       

7.5.1     If the President becomes unable to perform the duties of his or her office, the President-elect shall immediately ascend to the office of President. The President-elect, who succeeds to the office of President due to a vacancy, shall serve out both the unfinished terms to which he or she would have succeeded in due course. If both the President and President-elect become unable to perform the duties of their offices, the Board of Directors shall appoint, from its active membership, a President to serve for the balance of the unexpired term. At the next Annual Meeting of the OSHP, nominations shall be presented by the Nomination Committee for the offices of President and President-elect. They shall be elected according to the provisions of these Bylaws.       

7.5.2    If the office of another elected member of the Board of Directors becomes vacant because of resignation, death or otherwise, the Board of Directors may fill the vacancy for the remainder of the unexpired term from the active membership roll.  

Article 8       Committees          

8.1       Standing and Ad Hoc Committees  

8.1.1    OSHP will have the following standing committees and ad hoc committees as defined by the Board:  

8.1.1.1 Program Committee. This committee shall arrange the programs, select meeting sites, identify topics and prepare suitable subjects for discussion at regular meetings of the OSHP.  

8.1.1.2 Newsletter Committee:  This committee shall publish a quarterly newsletter for the OSHP membership.  

8.1.1.3  Membership Committee. This committee shall be responsible for the recruitment and retention of the OSHP membership.  

8.1.1.4 Scholarships and Awards Committee:  This committee shall conduct the selection process, make recommendations to the Board of Directors, and coordinate presentation of the following scholarships and awards: Continuing Excellence Award, Student Scholarships, Senior Student Awards, and Sylvia J. Martin Outstanding Technician Award.  

8.1.1.5 Nominations Committee: This committee shall conduct all elections of officers and delegates to the American Society of Health-System Pharmacists House of Delegates. They shall conduct election of officers and delegates as specified in Articles 5 and 6 of these Bylaws.                          

8.1.1.6 Legislative Committee:  This committee shall keep abreast of health- related legislation on a state and national level and report to the OSHP Board of  Directors as needed.  They shall work with the Oklahoma Pharmacists Association (OPhA) and the Oklahoma Board of Pharmacy (OBP) in an effort to present an unified front for pharmacy on all legislation relative to pharmacy practice.  

8.1.1.7  Finance Committee:  This committee shall consist of five members:  the President, the President-elect, Treasurer, and two members at-large.  The Finance Committee shall assist with budget preparation and financial review as requested by the Board of Directors.  

8.1.1.8 Other committees will be convened as necessary to conduct the business of the OSHP.  

8.2       Committee functions:  Each committee shall function in an advisory capacity, working toward the achievement of OSHP’s goals to which it is assigned. The Board of Directors shall have final authority in all such matters. The committees have no authority to expend OSHP funds, establish policy, or to enter into any agreements with outside parties without the express approval of the Board.

8.3       Committee Composition  

8.3.1    The President, with the approval of the Board of Directors, shall appoint committee chairs and members as deemed necessary to carry out the responsibilities and programs of OSHP.  

8.3.2.   All OSHP members, regardless of their membership category, are eligible to be appointed as a voting member of a committee.  The only exception is that students shall not be appointed to the Scholarship and Awards committee due to conflict of interest.  

8.4       Duties of Committee Chair(s)  

8.4.1    The committee chair(s) shall:  

8.4.1.1 Call meetings as necessary to conduct the business of the committee.  

8.4.1.2 Preside over such meetings.  

8.4.1.3 Attend meetings of the Board of Directors and report any activities of the committee as needed.       

8.4.1.4 Submit a written report of the Committee activities for the year to be presented at the Annual Meeting.

Article 9          Districts              

9.1       Definition of Districts                          

9.1.1    There shall be two (2) districts to fulfill the needs of the membership.                          

9.1.2    They shall be referred to as the Eastern and Western Districts.                          

9.1.3    The Western District generally will meet in the Oklahoma City area and the Eastern District generally will meet in the Tulsa area.             

9.2      Criteria                          

9.2.1    Members will self-select in which district they wish to be a member as their preference may vary based on their residence or place of employment.   

9.2.2    Each district will be represented by a District Chair elected from the district’s members.        

Article 10        Quorum  

10.1 Statewide  

10.1.1  Ten percent (10%) of the active and associate members of the OSHP shall constitute a quorum for statewide meetings.  

10.2        District                          

10.2.1  Ten percent (10%) of the active and associate members of the District shall constitute a quorum for a District meeting.        

Article 11:  Annual Meeting  

11.1          Authority                                      

11.1.1  A yearly session, known as the Annual Meeting, shall be held at such time and place as may be established by the Board of Directors. Reasonable means shall be used to notify the membership of the meeting and to encourage their participation.  

11.2          Purpose  

11.2.1    During the course of the meeting, the reports of officers and committees, an open Board of Directors meeting and installation of elected officers shall be conducted. Other activities may include educational seminars, presentation of awards and other functions deemed appropriate by the Board of Directors.  

Article 12:  Amendments  

12.1     Submission of Proposal  

12.1.1. Each proposal to alter or amend these Bylaws shall be submitted in writing to the Secretary of the OSHP by two or more active members at least ninety days prior to the Annual Meeting.              

12.2     Review of Proposal  

12.2.1  Such proposals shall be reviewed at the District meetings or other business meetings at least sixty days prior to the Annual Meeting.  

12.2.2  The proposal shall then be read at the Annual Meeting of the OSHP where it must be approved by a majority of active and associate members present.  

12.3     Final Approval of Proposal  

12.3.1  Approval must be given by the American Society of Health-System Pharmacists before it is submitted to the entire current OSHP membership for vote by ballot.                          

12.3.2  A two-thirds majority of votes cast shall be necessary for final approval.    

Article 13        Affiliation

13.1     American Society of Health-System Pharmacists            

13.1.1  OSHP shall be affiliated with the American Society of Health-System Pharmacists. The Board of Directors shall oversee the nomination and election of delegates and alternates to the ASHP House of Delegates.  

13. 2. Other organizations  

13.2.1  There may be other organizations where there is a mutual desire to affiliate with the Society. The Society is supportive of such affiliations, which have the underlying goal to promote and improve health-system pharmacy practice.  

13.2.2  All affiliations with the Society shall be with the approval of the Board of Directors. Affiliation with the Society may be denied, suspended, or revoked by the Board of Directors.

Article 14        Liquidation of Assets  

14.1     Dissolution Process  

14.1.1  In the event of a liquidation and dissolution of the OSHP, any properties, or other assets remaining in the treasury, or to the account of, or otherwise belonging to, the OSHP shall be disposed of as follows:  

14.1.1.1  All liabilities and obligations of the OSHP shall be paid and discharged, or adequate provision shall be made thereof;  

14.1.1.2  Assets held by the OSHP subject to legally valid requirements for their return, transfer or conveyance, upon dissolution and liquidation, shall be returned, transferred, or conveyed in accordance with such requirements and;  

14.1.1.3   All remaining assets held by the OSHP shall be transferred or conveyed, without obligation or restriction, to the American Society of Health-System Pharmacists Research and Education Foundation to be used in whatever manner it shall deem appropriate.  

14.1.1.4   Dissolution shall be defined as a vote by 80% or more of the OSHP Board of Directors to disband or terminate the Oklahoma Society of Health-System Pharmacists, ratified by a majority of the voting members.  Reorganization, restructuring, or disaffiliation from the American Society of Health-System Pharmacists shall not be considered dissolution of OSHP.
