Bylaws



Oklahoma Society of Health-System Pharmacists


Article 1 Name


1.1 Name.   The name of the organization shall be the Oklahoma Society of Health-System Pharmacists, which shall be known as the OSHP.


Article 2 Mission and Goals



  1. The mission of OSHP shall be to:



      1. Advance rational, patient-oriented drug therapy.



    1. Promote pharmacists as integral members of the health care team, fully utilizing their clinical and drug-use-control functions.



      1. Serve as a primary advocate for advancing professional practice, enhancing the cost- effectiveness of pharmaceutical services, and improving the quality of patient care.



      1. Promote the pharmacists' value to patients to insure that appropriate medication management is applied for their benefit.



      1. Encourage good health by fostering the optimal and responsible use of drugs, including prevention of improper or uncontrolled usage.



      1. Assure sufficient, competent manpower in the profession by offering education and training programs.



      1. Contribute to continuing education programs for pharmacy practitioners and support staff.



      1. Provide leadership in the identification, analysis and evaluation of health care trends and in the development of public policy, and to address legislative and regulatory initiatives of concern to the pharmacy profession.




    1. The goals of OSHP shall be to:


  1. Promote the value of pharmacists as integral members of patient- centered healthcare teams.


    1. Advocate the advancement of pharmacy practice through legislation and regulation.


    1. Identify and mentor current and future leaders within health-system pharmacy.


    1. Deliver unique and innovative programs and share best practices for pharmacists, students, and technicians.




Article 3 Membership


  1. Eligibility


  1. Active members shall consist of pharmacists who are licensed by and either reside in or have their primary place of employment located within the state of Oklahoma and who have paid dues as established by the OSHP, and support the objectives of the OSHP as stated in the Constitution and Bylaws. Members of the OSHP are encouraged to be members of the American Society of Health-System Pharmacists.


      1. Active members shall receive publications and general communications from the OSHP, may attend meetings, may be granted the privilege of the floor, shall be entitled to vote on amendments to the Constitution and Bylaws, and hold elected office in the OSHP.


    1. New graduate/Resident members shall consist of first year post-graduates and individuals participating in a post-graduate year 1 or 2 residency. New graduate/resident members shall have the same rights and privileges as Active Members if licensed by and either reside in or have their primary place of employment located within the state of Oklahoma and who have paid dues as established by the OSHP, and support the objectives of the OSHP as stated in the Constitution and Bylaws. 


      1. Retired Pharmacists shall consist of pharmacists or former pharmacists who are/were licensed by and either reside in or had their primary place of employment located within the state of Oklahoma and who have paid dues as established by the OSHP, and support the objectives of the OSHP as stated in the Constitution and Bylaws. Members of the OSHP are encouraged to be members of the American Society of Health-System Pharmacists


    1. Associate Members shall consist of supporting members, pharmacy technicians, and student members, and industry associates. Associate members shall receive publications and general communications from OSHP, may attend meetings, may be granted the privilege of the floor, but shall not be entitled vote or hold an elected office (except as otherwise provided in the OSHP Bylaws).


3.1.2.l   Supporting Members. Individuals, other than those who qualify as active members, who by working in an organized health-care setting, teaching prospective health-system pharmacists, or otherwise contribute to pharmacy services provided in organized health-care settings who support the objectives of the OSHP as stated in the Constitution and Bylaws.

    1. Pharmacy Technicians. Individuals who are permitted as pharmacy technicians by the Oklahoma State Board of Pharmacy, employed as pharmacy technicians in an organized health-care setting, work under the supervision of a licensed pharmacist and assist in preparing, distributing or administering medication.


    1. Student Members.  Individuals enrolled full-time in undergraduate or graduate programs of an accredited college of pharmacy, who are not licensed pharmacists.


    1. Honorary membership may be bestowed upon those individuals who have distinguished themselves by service to the OSHP, to the profession of pharmacy or to other health-related fields.


  1. The rights or privileges of active membership will be granted by virtue of this honor only if the individual is otherwise qualified.


    1. No dues shall be required of honorary members.


    1. Nominations must be submitted in writing to the Secretary of the OSHP by two or more active members.


    1. Unanimous approval of the Board of Directors is required.


    1. Dues


      1. The Board of Directors shall establish dues and membership periods for all members. The Board of Directors shall have the authority with a three-fourths approval of the Board of Directors to increase dues not more than 20% on an annual basis. Proposed dues increases of greater than 20% shall first be submitted to the OSHP membership for their review and comment prior to implementation.


      1. Dues for active and associate members shall be payable the first day of January, of each year.


    1. Payment of dues automatically renews membership in the OSHP.


    1. Period of Membership


      1. The period of membership shall be from January 1 to December 31.


      1. Any member not having paid dues for the upcoming membership year by February 1 shall cease to be a member of the OSHP and shall have their name removed from the membership rolls.


    1. Termination of Membership. A member may terminate membership at any time by submitting a signed written statement of their intention to the Secretary of the OSHP. However, in such case, no dues or fees shall be refunded.


    1. Reinstatement of Membership. A member may apply to reinstate membership at any time by paying annual dues and registering for membership


    1. Services of the society


  1. Members of the OSHP shall be entitled to receive services and publications as the Board of Directors establishes.


    1. Upon termination of membership, a member's right to membership services shall cease.


Article 4 Officers


  1. Composition

    1. The officers of the OSHP shall be the President, President-elect, Immediate Past President, Secretary, Treasurer, Western District Chair, and Eastern District Chair.


      1. All officers shall be active, current members of the OSHP.


    1. Nominations


      1. A call for nominations for candidates shall be disseminated to allow members to suggest qualified candidates for nomination. Members are encouraged to self-nominate. Nomination forms shall not require the identification of the person submitting the form.


      1. Candidates for Officers must be Active members of the OSHP. In the case of District Chairs, the members must reside or have their primary place of employment located within the given District.


    1. The President shall annually establish a Nominations Committee to nominate the candidates for each office. This committee shall consists of a minimum of 3 active members.  The Immediate Past President shall serve as the member Chair of the committee. The President shall appoint current, active members from the Society to serve on the committee.  Prior to reporting the name of any candidate, the Committee shall confirm that the candidate is eligible and willing to serve. Nominations from this committee shall be the sole source for candidates for each office. 


    1. Terms of Office


      1. The President-elect shall be elected annually for a term of one year and shall succeed successively to the office of President and then to the position of Immediate Past President, serving for one year in each capacity. The Immediate Past President cannot succeed to President-elect.

      2. The Secretary and Treasurer shall serve a term of office of two years. They shall be elected on alternate years. Neither shall serve more than two successive terms.


      1. The Eastern and Western District Chairs shall each serve a term of office of two years. They shall be elected on alternate years. The Western District Chair will be elected every other year when the Treasurer is elected while the Eastern District Chair will be elected every other year when the Secretary is elected.


    1. No person should serve in a dual capacity on the Board.


    1. Duties of Offices


  1. President


      1. The President shall be the principal elected official of the OSHP and shall be so recognized at all the OSHP programs and activities. The President shall act as the official spokesperson of OSHP. With approval of the Board of Directors, the President shall appoint chairs and members of committees as needed. Except as otherwise provided, he or she shall fill all vacancies by appointment. He or she shall be an ex-officio member of all OSHP committees. He or she shall be a member of the Board of Directors and serve as its Chair.


    1. President-elect


      1. The President-elect shall perform the duties of the President whenever the President is unable to do so. He or she shall be a member of the Board of Directors and shall assume the responsibilities as directed by the President including ex-officio membership of all OSHP Committees.


    1. Immediate Past President


      1. The Immediate Past President shall be a member of the Board of Directors and in the absence of both the President and President-Elect, shall serve as Chair of the Board. The Immediate Past President will also serve as Chair of the Nominations Committee.


    1. Secretary


      1. The Secretary shall be a member of the Board of Directors. He or she shall record and maintain meeting minutes of the Board of Directors and other meetings when directed by the President. A Secretary's report describing the OSHP's activities during the preceding year shall be made available at the time of the Annual Meeting each year.


    1. Treasurer


      1. The Treasurer shall serve as custodian of the OSHP's funds. He or she shall receive, invest and disburse funds at the direction of the Board of Directors and shall serve as Chair of the Finance Committee. He or she shall prepare periodic statements on the financial condition of the organization and present a report and audited financial statement at the Annual Meeting.


    1. District Chairs


  1. Each District Chair shall coordinate and preside at all District Meetings. He or she shall prepare a report for presentation at the Annual Meeting of the OSHP.


Article 5 Elections


  1. The winner of any election will be the individual who receives greater than 50% of the votes cast.


    1. The newly elected officers shall be installed at the annual meeting to hold office for 1 to 3 years, dependent on the term of the office.


    1. OSHP shall conduct an annual election among ASHP active members within the state of Oklahoma in order to select voting state delegates and alternates for the ASHP House of Delegates. 


Article 6 Ballots


  1. Ballots may be distributed to the voting membership either electronically or by paper and will be distributed to the location or address (physical or electronic) on file with the organization at the time.


    1. Ballots shall be counted by the Nominations Committee. The Chair of the Committee must submit in writing the results of the election to the Board of Directors.


    1. The deadline for submitting votes should be no more than 30 days from the date of the ballot distribution.



Article 7 Board of Directors


  1. Composition


      1. The Board of Directors shall consist of the following voting members: President, President-elect, Immediate Past President, Secretary, Treasurer and District Chairs.


7.1.2. Student representatives will be non-voting members of the Board of Directors. There shall be a student representative from each of the accredited Colleges of Pharmacy in Oklahoma. The student representative shall be appointed or elected by their respective OSHP student chapters.


    1. Attendance and Frequency of Meetings


      1. The Board of Directors shall meet at least quarterly or at the call of the Chair.


      1. Each board member is expected to attend a minimum of 4 meetings annually.


    1. Board meetings may be convened by conference telephone or other electronic technology as long as all board members on the call can hear and respond to all discussion and comments in real time. 


    1. Quorum


4.3.1 A simple majority of the voting members of the Board of Directors shall constitute a quorum.



    1. Responsibilities


      1. The Board of Directors shall represent the membership of the OSHP as the official voice of health-system pharmacists in the state of Oklahoma. The Board of Directors shall establish the direction for the organization; have charge of the property of the OSHP; shall establish regulations for expenditure and investment of funds and the signing of checks; shall have authority to make contributions of the OSHP funds or properties to foundations or other organizations for research and educational activities of benefit to organized health- care pharmacy practice; shall supervise and select the editor of the OSHP's publications; shall make ultimate decisions regarding the acts of committees and officers on professional policy matters; shall accept, on behalf of the OSHP, grants, contributions, gifts, bequests or devices to further the purpose of the OSHP; shall perform all acts and functions consistent with the Bylaws; and shall report actions taken on major policy matters at the next Annual Meeting.


      1. The Board of Directors may establish and modify administrative policies, consistent with these Bylaws, for the conduct of its business and for the conduct of the business of the OSHP and its components.


      1. The Board of Directors shall plan and prepare the annual calendar for OSHP including dates of the annual meeting, any special meetings, committee meetings, special events, and the Board of Directors meetings.


      1. Members of the Board shall serve as Board Liaison to an OSHP standing committee/task force as appointed by the President.


    1. Vacancies


      1. If the President becomes unable to perform the duties of his or her office, the President-elect shall immediately ascend to the office of President. The President- elect, who succeeds to the office of President due to a vacancy, shall serve out both the unfinished terms to which he or she would have succeeded in due course. If both the President and President-elect become unable to perform the duties of their offices, the Board of Directors shall appoint, from its active membership, a President to serve for the balance of the unexpired term. At the next Annual Meeting of the OSHP, nominations shall be presented by the Nomination Committee for the offices of President and President-elect. They shall be elected according to the provisions of these Bylaws.


      1. If the office of another elected member of the Board of Directors becomes vacant because of resignation, death or otherwise, the Board of Directors may fill the vacancy for the remainder of the unexpired term from the active membership roll.



    1. Indemnification of Officers and Directors


      1. OSHP may indemnify each Director, officer, former Director, and former officer of OSHP against expenses (including attorneys’ fees), judgments, fines, penalties, and settlements actually and necessarily incurred by that person in connection with or arising out of any proceeding in which that person may be involved as a party or otherwise by reason of being or having been such Director or officer. No indemnification shall be made until the Board of Directors shall have determined that indemnification is proper.  The procedure and standard for indemnification shall be governed by the applicable statutes of the state of Oklahoma.


    1. Compensation of Board Members:


  1. No Director shall be entitled to any compensation for services. Pursuant to policies adopted by the Board, Directors may be reimbursed for reasonable expenses incurred in attending meetings of the Board of Directors and in discharging functions at the direction of the Board.

 

Article 8 Committees


  1. Standing and Ad Hoc Committees


      1. OSHP will have the following standing committees, ad hoc committees, and other task forces as defined by the Board and based on the Strategic Plan:


      1. Nominations Committee: This committee shall conduct all elections of officers and delegates to the American Society of Health-System Pharmacists House of Delegates. They shall conduct election of officers and delegates as specified in Articles 5 and 6 of these Bylaws.


        1. Finance Committee: This committee shall consist of five members: the President, the President-elect, Treasurer, and two members at-large. The Finance Committee shall assist with budget preparation and financial review as requested by the Board of Directors.


        1. Other committees and task forces will be convened as necessary to conduct the business of the OSHP and will be further defined in the OSHP Guidelines and Policies.


    1. Committee functions:  Each committee shall function in an advisory capacity, working toward the achievement of OSHP’s goals to which it is assigned. The Board of Directors shall have final authority in all such matters. The committees have no authority to expend OSHP funds, establish policy, or to enter into any agreements with outside parties without the express approval of the Board.


    1. Committee Composition


  1. The President, with the approval of the Board of Directors, shall appoint committee chairs and members as deemed necessary to carry out the responsibilities and programs of OSHP.


    1. All OSHP members, regardless of membership category, are eligible to be appointed as a member of a committee.


 

Article 9 Districts


  1. Definition of Districts


      1. There shall be two (2) districts to fulfill the needs of the membership.


    1. They shall be referred to as the Eastern and Western Districts.


      1. The Western District generally will meet in the Oklahoma City area and the Eastern District generally will meet in the Tulsa area, or in such other location as determined by the District Chair if practical.

    1. Criteria


  1. Members will self-select in which district they wish to be a member as their preference may vary based on their residence or place of employment.


    1. Each district will be represented by a District Chair elected from the district’s members.


Article 10 Quorum


  1. Statewide


      1. Ten percent (10%) of the active and associate members of the OSHP shall constitute a quorum for statewide meetings.


    1. District


  1. Ten percent (10%) of the active and associate members of the District shall constitute a quorum for a District meeting.


Article 11: Annual Meeting


  1. Authority


      1. A yearly session, known as the Annual Meeting, shall be held at such time and place as may be established by the Board of Directors. Membership shall be notified of the meeting no later than 30 days prior to the meeting date, and reasonable means shall be used to encourage their participation.


    1. Purpose


  1. During the course of the meeting, the reports of officers and committees, an open Board of Directors meeting and installation of elected officers shall be conducted. Other activities may include educational seminars, presentation of awards and other functions deemed appropriate by the Board of Directors.


Article 12: Amendments


  1. Submission of Proposal


      1. Each proposal to alter or amend these Bylaws shall be submitted electronically or in writing to the office of OSHP Secretary by two or more active members.  Any proposals to amend these bylaws must first be submitted to the Board of Directors for their review and approval prior to being circulated to the membership for review and commentary.


    1. Review of Proposal


  1. Circulation of such proposals to the membership will be done for a minimum of 60 days by such means as distribution via email, mail, social media, the OSHP website, and/or posting/review at district, annual, or fall meetings.  Members will be able to submit comments electronically or in writing to the Board of Directors.  


    1. Final Approval of Proposal


  1. A two-thirds majority of votes cast shall be necessary for final approval.


Article 13 Affiliation


13.1 American Society of Health-System Pharmacists


13.1.1   OSHP shall be affiliated with the American Society of Health-System Pharmacists. The Board of Directors shall oversee the nomination and election of

delegates and alternates to the ASHP House of Delegates.


13.1.2  OSHP shall conduct an election among ASHP active members within the state of Oklahoma in order to select voting state delegates and alternates for the ASHP House of Delegates. 

13. 2. Other organizations


  1. There may be other organizations where there is a mutual desire to affiliate with the Society. The Society is supportive of such affiliations, which have the underlying goal to promote and improve health-system pharmacy practice.


    1. All affiliations with the Society shall be with the approval of the Board of Directors. Affiliation with the Society may be denied, suspended, or revoked by the Board of Directors.



Article 14 Liquidation of Assets


  1. Dissolution Process


  1. In the event of a liquidation and dissolution of the OSHP, any properties, or other assets remaining in the treasury, or to the account of, or otherwise belonging to, the OSHP shall be disposed of as follows:


  1. All liabilities and obligations of the OSHP shall be paid and discharged, or adequate provision shall be made thereof;


    1. Assets held by the OSHP subject to legally valid requirements for their return, transfer or conveyance, upon dissolution and liquidation, shall be returned,  transferred, or conveyed in accordance with such requirements and;


    1. All remaining assets held by the OSHP shall be transferred or conveyed, without obligation or restriction, to the American Society of Health-System Pharmacists Research and Education Foundation to be used in whatever manner it shall deem appropriate.


    1. Dissolution shall be defined as a vote by 80% or more of the OSHP Board of Directors to disband or terminate the Oklahoma Society of Health-System Pharmacists, ratified by a majority of the voting members.  Reorganization, restructuring, or disaffiliation from the American Society of Health-System Pharmacists shall not be considered dissolution of OSHP.
